These Terms of Use and End User License Agreement (collectively, “Agreement”) is a legal agreement between you and Triple Helix Health, Inc. (“THH,” “we,” “us,” or “our”) and governs your use of The Mollorox mobile application (the “Application”), including all updates, modifications, features, and related services provided by THH (collectively, the “Service”).
- ACCEPTANCE OF TERMS
By downloading, installing, accessing, or using the Application, you consent to and agree to be bound by all terms and conditions set forth in this Agreement. If you do not agree to these terms, you may not use the Application.
Your continued use of the Application constitutes your ongoing acceptance of this Agreement. THH reserves the right to modify these terms at any time. Modifications will be effective upon posting to the Application, and your continued use following any modifications constitutes acceptance of the revised terms.
- GRANT OF LICENSE
2.1 License Grant
Subject to your strict compliance with all terms of this Agreement and during the term of your subscription to use the Application, THH grants you a royalty-free, limited, non-exclusive, non-transferable, non-assignable, and revocable license to download, install, and use the Application on your personal mobile device(s) for lawful educational and personal purposes only. This license is non-transferable and may be revoked at any time at THH’s sole discretion.
2.2 Reservation of Rights
All rights not expressly granted herein are reserved exclusively to THH. The Application is licensed, not sold, and you acquire no ownership interest in the Application or any of THH’s intellectual property.
2.3 Feedback and Contributions
Any feedback, ideas, modifications, suggestions, improvements, comments, or other input you provide regarding the Application (collectively, “Feedback”) shall become the sole and exclusive property of THH. You hereby assign all right, title, and interest in any Feedback to THH worldwide and agree to assist THH, at THH’s expense, in perfecting and enforcing such rights. THH may disclose, publish, or use Feedback for any purpose whatsoever without any obligation or compensation to you.
- USER OBLIGATIONS AND RESTRICTIONS
3.1 Prohibited Activities
You agree not to: make any copies of the Application, in whole or in part; interfere or disrupt networks connected to any Application provided by or through THH; use the Application for any purpose competitive with THH; use the Application to create any service or software similar to the Application or any service provided by THH; use the Application to infringe the privacy or intellectual property rights of THH or a third party; disassemble, decompile, reverse engineer or use any other means to attempt to discover any source code of the Application, or the underlying ideas, algorithms or trade secrets therein; encumber, sublicense, transfer, rent, lease, timeshare, or use the Application in any service bureau arrangement or otherwise for the benefit of any third party; use or allow the transmission, transfer, export, re-export or other transfer of any product, technology or information it obtains or learns pursuant to this Agreement (or any direct product thereof) in violation of any export control or other laws and regulations of the United States or any other relevant jurisdiction; use the Application to distribute or transmit any file that contains malware; attempt to gain unauthorized access to the Application or any other computer system; use the Application to transmit any unlawful, harassing, libelous, defamatory, racist, indecent, abusive, violent, threatening, intimidating, harmful, vulgar, obscene, offensive or otherwise objectionable material of any kind or nature; or permit any third party to engage in any of the foregoing proscribed acts.
3.2 Consequences of Violation
Violation of any provision in Section 3.1 may result in immediate suspension or termination of your access to the Application, legal action, and/or claims for damages.
- INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS
4.1 Ownership
The Application, including all software code, user interface, design, graphics, documentation, trademarks, trade names, logos, content, and all Confidential Information (defined below), are proprietary to and the exclusive property of THH. All applicable rights in copyrights, trademarks, trade secrets, trade names, patents, and other intellectual property rights in or associated with the Application are and shall remain exclusively in THH. You acquire no intellectual property rights, ownership interest, or other proprietary interest in the Application.
4.2 Limited Use License
Your license to use the Application is limited to the personal, non‑commercial, lawful educational and informational purposes described in this Agreement. Any other use is expressly prohibited.
- USER DATA AND PRIVACY
5.1 Data Collection and Use
THH collects, processes, and uses data in accordance with its Privacy Policy, available at https://triplehelixhealth.com/privacy-policy. By using the Application, you consent to THH’s collection, processing, and use of your data as described in the Privacy Policy and this Agreement.
5.2 Types of Data Collected
THH may collect the following information related to your use of the Application:
- Personal Data: Information that identifies you, including your name, email address, phone number, demographic information, and account credentials.
- Usage Data: Information about how you interact with the Application, including features accessed, content viewed, time spent, and navigation patterns.
- Application Data: Data created, generated, or provided through your use of the Application, including responses to educational content, progress tracking, and performance metrics (collectively, “Application Data”).
- Device Information: Information about your mobile device, including device type, operating system, unique device identifiers, and mobile network information.
- Location Data: Approximate location data may be collected based on IP address or other technical means; precise GPS location data is not collected without your explicit permission.
5.3 Use of Data
THH uses collected data to:
- Provide, maintain, improve, and develop the Application and related services.
- Personalize your experience and provide customized educational content.
- Analyze trends, usage patterns, and service performance.
- Conduct research and product development.
- Communicate with you about updates, features, and service changes.
- Detect, prevent, and address fraud, abuse, and security issues.
- Comply with legal obligations and enforce this Agreement.
5.4 Data Sharing
THH may share your data with third‑party service providers who assist in operating the Application and providing services to you, and such providers are contractually obligated to maintain confidentiality and use your data solely for authorized purposes.
5.5 No Sale of Personal Data
THH will not sell your Personal Data to third parties for monetary compensation, but may share de‑identified, anonymized, or aggregated data without restriction.
5.6 Data Security
THH implements industry‑standard security measures to protect your data, but cannot guarantee absolute security. You acknowledge that transmission and storage of data carries inherent risks.
- ACCEPTABLE USE POLICY
6.1 Prohibited Conduct
You agree to use the Application in compliance with all applicable laws and regulations and agree not to:
- Violate any local, state, federal, or international law, statute, ordinance, or regulation.
- Harass, threaten, defame, abuse, or intimidate any person or entity.
- Collect or attempt to collect personal information about other users without consent.
- Impersonate or misrepresent your identity, affiliation, or credentials.
- Access or use the accounts of other users.
- Interfere with other users’ enjoyment or access to the Application.
- Engage in any form of fraud, deception, or misrepresentation.
- Spam, flood, or send unsolicited communications through the Application.
- Attempt to circumvent, disable, or interfere with any security features of the Application.
- Use the Application in any manner that could damage, disable, overburden, or impair THH’s servers or systems.
6.2 Content Standards
Any user‑generated content (if applicable) must be original, lawful, and must not violate third‑party intellectual property rights, privacy rights, or any applicable law.
- ACCOUNT MANAGEMENT AND TERMINATION
7.1 Account Creation
If account creation is required to use the Application, you agree to provide accurate, current, and complete information, and you are responsible for maintaining the confidentiality of your credentials and all activities under your account. You agree to notify THH immediately of any unauthorized use or suspected breach of security.
7.2 Account Suspension and Termination
THH may suspend or terminate your account and access to the Application at any time, with or without cause or notice, including for:
- Violation of this Agreement.
- Unlawful, abusive, or prohibited conduct.
- Fraud or misrepresentation.
- Extended inactivity.
- Violation of applicable laws or regulations.
- Any reason at THH’s sole discretion.
7.3 Term of Agreement
This Agreement begins when you first access or use the Application and continues until terminated by you or THH. You may terminate by uninstalling the Application and ceasing all use; THH may terminate at any time, with or without cause.
7.4 Survival of Terms
Upon termination, Sections 4, 5, 9, 10, 11, 12, 13, 14, 16, 17, and 19 shall survive.
- PAYMENT AND BILLING (IF APPLICABLE)
8.1 Pricing and Fees
If the Application offers paid features, subscriptions, or in‑app purchases, pricing will be displayed prior to purchase and may be modified by THH at any time upon notice to users.
8.2 Billing Terms
All payments are non‑refundable except as required by law. If you purchase a subscription, it will automatically renew unless you cancel prior to the renewal date, and your payment provider may apply its own billing practices.
8.3 Payment Authorization
By making a purchase, you authorize THH and its payment processors to charge your selected payment method for all fees and charges incurred.
8.4 Taxes
You are responsible for any applicable sales, use, VAT, or other taxes associated with your use of the Application and related payments.
- DISCLAIMER OF WARRANTIES
9.1 “As Is” Disclaimer
THE APPLICATION IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THH DISCLAIMS ALL WARRANTIES, INCLUDING: IMPLIED WARRANTIES OF MERCHANTABILITY; IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE; IMPLIED WARRANTIES OF NON‑INFRINGEMENT; ANY WARRANTY THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; ANY WARRANTY THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE FROM DEFECTS. ANY WARRANTY THAT INFORMATION PROVIDED IS ACCURATE, COMPLETE, OR RELIABLE. ANY WARRANTY REGARDING THE QUALITY, ACCURACY, OR AVAILABILITY OF EDUCATIONAL CONTENT.
9.2 Educational Disclaimer
The Application is designed for educational purposes regarding the insurance industry and does not constitute professional insurance, legal, or financial advice. You should not rely solely on the Application for insurance decisions, and should consult qualified professionals before making such decisions.
9.3 Third‑Party Content
The Application may contain links to third‑party websites or resources, and THH does not endorse or control third‑party content or services. Your use of third‑party resources is at your own risk and subject to their terms.
- LIMITATION OF LIABILITY
10.1 Limitation of Damages
IN NO EVENT SHALL THH OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY GENERAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL; OR ANY DAMAGES RESULTING FROM LOSS OF USE, DATA CORRUPTION, OR SYSTEM FAILURE, ARISING OUT OF OR RELATING TO THE APPLICATION, THIS AGREEMENT, OR RELATED TRANSACTIONS.
10.2 Liability Cap
EXCEPT AS PROHIBITED BY LAW, THH’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO THH FOR USE OF THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR, IF NO PAYMENT WAS MADE, FIVE DOLLARS ($5.00).
10.3 Essential Term
You acknowledge that THH has set its fees and entered this Agreement in reliance on these limitations of liability, which are a material and essential term of this Agreement.
- INDEMNIFICATION
11.1 Indemnification by User
You agree to defend, indemnify, and hold harmless THH and its affiliates, officers, directors, employees, agents, and subsidiaries from any costs, claims, damages, expenses, settlements, or judgments (including reasonable attorneys’ fees) arising from:
- Any third‑party claim related to your use of the Application.
- Your violation of this Agreement or any law or regulation.
- Your violation of any third‑party rights.
- Any content or information you provide through the Application.
- Any unauthorized or unlawful use of the Application by you or through your account.
11.2 Defense Cooperation
You agree to cooperate fully in the defense and settlement of any claim for which THH seeks indemnification.
- CONFIDENTIALITY
12.1 Confidential Information
You may have access to certain confidential information belonging to THH (“Confidential Information”), including technical, business, and operational information related to the Application and THH’s services.
12.2 Confidentiality Obligations
You agree to use Confidential Information only for purposes permitted under this Agreement, not disclose it to third parties without THH’s consent, maintain its confidentiality, and return or destroy it upon request or termination.
12.3 Exceptions
These obligations do not apply to information that is public without your breach, already known to you, lawfully received from a third party, independently developed without use of Confidential Information, or required to be disclosed by law with notice to THH.
- CCPA COMPLIANCE AND YOUR PRIVACY RIGHTS
If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information is collected, the right to request deletion (subject to exceptions), the right to opt out of sales of personal information, and the right not to be discriminated against for exercising CCPA rights.
To exercise these rights, you may contact THH at https://triplehelixhealth.com/privacy-policy, and THH will verify your identity and respond within legally required timeframes. You may authorize an agent to submit requests on your behalf, subject to verification. The Application is not intended for children under 13, and THH will delete data known to be collected from such children.
- DISPUTE RESOLUTION AND ARBITRATION
You and THH agree first to attempt to resolve disputes informally with written notice and good‑faith negotiation for thirty (30) days. If unresolved, disputes will be submitted to binding arbitration under American Arbitration Association rules, before a single arbitrator, in Oakland County, Michigan or via videoconference, in English, and limited to disputes between you and THH.
Each party bears its own arbitration costs and attorneys’ fees unless otherwise awarded, and the arbitrator’s decision is final and may be entered as a judgment. Both parties waive the right to a jury trial and to participate in class actions. Claims for intellectual property infringement, injunctive relief, or disputes not amenable to arbitration may proceed in court.
- MODIFICATIONS TO TERMS
THH may modify this Agreement at any time, with changes effective when posted in the Application or communicated to you. Continued use of the Application after modifications constitutes acceptance; if you do not agree, you must uninstall and stop using the Application.
- WAIVER AND SEVERABILITY
No waiver or modification is effective unless in writing and signed by the party against whom enforcement is sought. Failure to enforce any right is not a waiver, and exercising one remedy is not a waiver of others. If any provision is held invalid, it will be revised to reflect the parties’ intent and remain enforceable, and the remaining provisions will stay in effect.
- ASSIGNMENT
You may not assign, transfer, or sublicense your rights or obligations under this Agreement, and any attempted assignment is void and may result in termination. THH may assign its rights and obligations to any successor, affiliate, or purchaser without your consent.
- ENTIRE AGREEMENT
This Agreement, together with THH’s Privacy Policy, is the entire agreement between you and THH regarding the Application and supersedes all prior agreements and understandings.
- GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of the State of Michigan, without regard to conflict of laws principles. Except as otherwise provided for arbitration, you and THH consent to exclusive jurisdiction and venue in the state and federal courts located in Oakland County, Michigan. In any action to enforce this Agreement, the prevailing party may recover reasonable attorneys’ fees and costs. All proceedings shall be conducted in English.

BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND ITS TERMS, AND AGREE TO BE BOUND BY ALL PROVISIONS HEREIN.
